Terms of Service
1. Agreement
These Terms of Service (“Terms”) govern your use of the Ainex desktop app, the website at ainex.app and its account pages, and related services (together, the “Service”). The Service is operated by Ainex in the United States (“Ainex,” “we,” “us”).
By creating an account, downloading or using the desktop app, or buying credits, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Who may use Ainex
You must be at least 18 years old and able to enter a binding contract. If you use Ainex for an organisation, you confirm you may bind it. You may use the Service only where doing so is lawful and you are not barred by sanctions or export-control laws.
3. Your account
Give accurate information, keep your password private and tell us promptly at support@ainex.app if you suspect someone else is using your account. You are responsible for activity in your account, including on computers where you signed in to the desktop app; you can sign them out from the Account page.
One person per account. Do not sell, share or transfer accounts, or create several accounts to collect sign-up credits or avoid limits.
4. The desktop app
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Ainex desktop app on computers you own or control, for as long as you have an account and follow these Terms. The app includes open-source components that remain under their own licences.
Ainex can read and change files, and run commands, on your computer when you ask it to. It asks for your approval before actions that change your computer, and some dangerous actions are always refused, but the assistant can still make mistakes. You are responsible for the actions you approve. Keep backups of files that matter to you.
The app may update itself to fix problems and keep it compatible with the Service.
5. AI output
“Input” is what you give Ainex: messages, descriptions, files, reference images and voice. “Output” is what Ainex produces in response. You are responsible for your Input and for how you use Output.
AI output can be wrong, incomplete, offensive, or similar to material made for others or to existing works. Check it before you rely on it or publish it. It is not professional advice.
We claim no ownership of your Input or Output. Subject to these Terms and the terms of the model provider used, you may use the pictures and text Ainex makes for you, including commercially. We cannot promise that Output is protected by copyright, unique or free of third-party rights in every country.
6. Your materials and other people’s rights
Only submit material you have the right to use. Do not upload another person’s private, sensitive or intimate material, or images of their face or recordings of their voice, without their permission.
You allow Ainex and the providers working for us to store, copy, transmit and process your Input and Output only as needed to provide the Service, keep your history, prevent abuse and comply with law.
7. What you may not do
- Break the law or infringe anyone’s intellectual-property, privacy or publicity rights.
- Create sexual content involving minors, non-consensual intimate imagery, or content that promotes violence, terrorism or self-harm.
- Harass, threaten, defame or impersonate people, or make deceptive images or voices of real people meant to mislead.
- Commit fraud, phishing or spam, or create malware, or use Ainex to attack other systems.
- Get around credit charges, rate limits, safety rules or the approval prompts; probe or overload our systems; or reverse engineer the Service except where the law allows.
- Resell or share access to the Service, or use it to build a competing model.
8. Enforcement
Model providers and our own systems may refuse requests that break their rules. If we reasonably believe you have broken these Terms, we may refuse requests, remove content, reverse credits gained through abuse, or suspend or close your account. Where appropriate we will tell you why. If you think we made a mistake, write to support@ainex.app.
9. Credits and payment
- Pictures, conversations and voice calls are paid for with prepaid credits. The credit price of a picture is shown before you send it; conversations and calls are charged by actual use.
- Credit packs are one-time purchases processed by Stripe. They do not renew automatically.
- Bought credits do not expire while your account and the Service exist. Credits are a licence to use the Service: they have no cash value and cannot be sold, transferred or exchanged for money. Free credits, such as sign-up credits and gift codes, may have limits and can be withdrawn if obtained through abuse.
- If a picture fails to generate, you are not charged for it, or the credits are returned to your balance.
- Prices, models and credit costs may change. A change never affects a request you have already sent.
10. Refunds
Completed credit purchases are final and are not refunded in cash, including for unused credits, dissatisfaction with output, changes to available models, or account closure for breaking these Terms. We will refund a verified duplicate charge, an unauthorised payment or a billing error, and wherever the law requires a refund. Write to support@ainex.app within 30 days of the charge. When a purchase is refunded or reversed, the credits it added are removed from your balance.
11. Storage
We keep your generation history so you can see your pictures again, but the Service is not a backup. The desktop app saves pictures and conversations on your computer; keep your own copies of anything important. We cannot promise that every picture or record can always be recovered.
12. Third-party services
Ainex relies on third parties for AI models, payments, email, sign-in and hosting, listed in our Privacy Policy. Their own terms may also apply to your use of their models. We do not control their availability or results and may change providers when needed.
13. Our intellectual property
The Service, including the software, design, Ainex name and logo, is owned by Ainex or its licensors. Apart from the rights in these Terms, no rights are transferred to you. If you send us feedback, we may use it freely.
14. Ending the agreement
You can stop using Ainex and delete your account at any time from the Account page. We may suspend or end your access as described in section 8, or if we stop offering the Service; if we stop offering it for reasons other than your breach, we will give reasonable notice. Sections that by their nature should survive, including 5, 10 and 15 to 18, continue after the agreement ends.
15. Disclaimers
TO THE EXTENT THE LAW ALLOWS, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We do not promise the Service will be uninterrupted or error-free, that every request will succeed, or that the assistant’s actions on your computer will be correct. Nothing here removes consumer rights that the law does not allow us to exclude.
16. Limitation of liability
TO THE EXTENT THE LAW ALLOWS, AINEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR FILES, ARISING FROM THE SERVICE OR THESE TERMS. Our total liability for all claims is limited to the greater of 100 US dollars or what you paid us in the 12 months before the claim arose. These limits do not apply to liability that cannot lawfully be limited, such as for fraud or gross negligence.
17. Indemnity
To the extent the law allows, you will compensate Ainex for reasonable claims and costs arising from your unlawful Input or use of Output, your infringement of someone’s rights, or your material breach of these Terms, but only to the extent caused by you.
18. Governing law and disputes
These Terms are governed by the laws of the United States and the State of California, except where the mandatory law of the place you live applies. Before going to court, please write to support@ainex.app so we can try to resolve the problem informally. Disputes that cannot be resolved go to the competent courts in California, unless consumer law lets you bring a claim where you live. Either side may use small-claims court.
19. Changes and general terms
We may update these Terms and will post the new version here with a new effective date; for material changes we will email account holders in advance. If you keep using the Service after a change takes effect, the new Terms apply. These Terms and the Privacy Policy are the whole agreement between us. If a part is unenforceable, the rest still applies. Not enforcing a term is not a waiver.
